Richard P. Manczak

Rick Manczak is Special Counsel to Sweetbaum Miller PC. He is a corporate and business law attorney with a comprehensive corporate transactional practice involving all areas of corporate, business and commercial law.   • Local counsel for $200 million sale of large environmental services company and related real estate;
  • Represented promoter in the formation of $300 million private equity fund in the technology, financial services, healthcare, energy and entertainment sectors;
  • Negotiation of letter of intent for private equity fund in the film production industry;
  • Representation of purchaser in five (5) separate asset acquisitions and two (2) stock acquisitions of companies in the recycling/waste management industry;
  • Representation of general partner in formation and fundraising of follow-on venture capital fund;
  • Representation of lead venture capital funds in Series A-1 financing round;
  • Representation of promoter in formation and fundraising for private equity commodity pool fund for $300 million fund investing in precious metals;
  • Representation of issuer in Rule 506 Regulation D private offering to accredited investors;
  • Representation of three (3) separate early-stage companies in convertible note financings;
  • Representation of start-up company in seed round financing and IP license agreement;
  • Representation of purchasers in six (6) separate commercial/industrial property acquisitions and financings;
  • Representation of founders in the formation and launch of numerous start-up companies;
  • Representation of developer in formation and financing of a joint-venture for the construction and operation of a hydroponic greenhouse;
  • Local representation of corporate borrower group in $82 million loan facility and amendments;
  • Representation of seller in sale of Colorado division of services company;
  • Representation of majority member in recapitalization of operating company and equipment finance restructuring;
  • Representation of purchaser in acquisition of Michigan assets of national commodity broker.
